Terms of Service

1. Agreement and eligibility

These Terms of Service (“Terms”) apply to roscoesitepro.com and services provided by Roscoe Equity DBA Roscoe Site Pro (“RSP,” “we,” “us,” or “our”). By purchasing or using a service, you represent that you are at least 18, can bind the business you represent, and agree to these Terms.

If a signed proposal, order form, statement of work, or service agreement conflicts with these Terms, the signed document controls for that service.

2. Services and cumulative offer scope

RSP provides contractor websites, lead capture and response systems, CRM and communications configuration, Maps and local-search execution, reviews and job-proof workflows, paid acquisition management, reporting, and related implementation services. The exact deliverables, markets, platforms, and support included are the ones listed in the applicable signed scope.

3. Billing, renewal, cancellation, and refunds

Unless a signed agreement states otherwise, recurring fees are billed in advance and service renews monthly until cancelled. To stop the next renewal, send written notice before the next billing date. The cancellation timing, any required notice period, and any refund or credit rights in a signed agreement control.

Fees already earned for a current service period are not refundable except where law or a signed agreement requires otherwise. Usage charges, advertising spend, third-party charges, and approved out-of-scope work are separate when stated in the signed scope.

A valid legacy or founder pricing commitment accepted in writing by RSP remains governed by that writing. These Terms do not create new eligibility for a retired or limited program.

4. Client responsibilities

The client must provide accurate business facts, current service areas, licenses where applicable, approved offers, access to required accounts, usable proof, and timely approvals. The client is responsible for its workmanship, sales process, estimates, pricing, customer service, legal and licensing compliance, and the accuracy and rights attached to supplied content.

The client must have a lawful basis and required consent for every contact imported, called, emailed, or texted. It must honor opt-outs, maintain suppression records, identify the sender, and comply with applicable telephone, messaging, email, advertising, privacy, and platform rules. RSP may pause a campaign or workflow that creates a compliance, reputation, or deliverability risk.

5. Content, permissions, and acceptable use

The client keeps ownership of text, photos, videos, logos, reviews, lists, and other material it provides. The client grants RSP the permission needed to host, edit, publish, transmit, and use that material for the selected services and approved portfolio examples. The client confirms it has the rights and permissions needed for that use.

You may not use RSP systems for unlawful, fraudulent, deceptive, infringing, harassing, or abusive activity; to send messages without the required permission; to manipulate reviews; or to violate provider policies. RSP may suspend affected activity while a risk is investigated.

6. Ownership, portability, and what happens at cancellation

The client keeps the domain, business content, business data, client-owned advertising accounts, and the delivered website. Managed automations, phone routing, licensed software access, active campaigns, hosting, maintenance, and ongoing RSP work stop when the related service stops unless a transition is agreed in writing.

RSP retains ownership of its pre-existing code libraries, templates, methods, documentation, automation patterns, and reusable system components. To the extent those components are embedded in a delivered website, the client receives the practical right to keep and use the delivered site, but not to resell RSP’s underlying product system as a template or competing service.

On a reasonable written request and subject to platform capability, payment status, security, and applicable law, RSP will cooperate with export or transfer of client-owned content and data. Third-party platforms may limit format, timing, or what can be exported.

7. Third-party services

RSP services may depend on hosting, domain, CRM, phone, messaging, payment, analytics, search, social, and advertising providers. Their terms, technical limits, policy changes, outages, account reviews, and data-retention rules also apply. RSP is not responsible for a third party’s service interruption or enforcement decision, but will take reasonable in-scope steps to diagnose and respond.

8. No guarantees

RSP does not guarantee search rankings, Map placement, AI-search appearance, call or lead volume, cost per lead, qualification rate, estimate volume, close rate, jobs, revenue, gross profit, advertising performance, or uninterrupted availability. Marketing outcomes depend on competition, demand, budget, reputation, pricing, service quality, capacity, seasonality, platform behavior, client follow-up, and other factors outside RSP’s control.

Reports and projections are diagnostic tools, not promises. Estimated job value, revenue, or gross profit is only as reliable as the underlying client data.

9. Suspension and termination

RSP may suspend or limit a service for overdue payment, missing required access, security risk, unlawful use, messaging or advertising noncompliance, provider enforcement, or conduct that materially threatens customers, systems, or RSP’s reputation. Where practical, RSP will explain the issue and the condition for reinstatement.

10. Disclaimers and limitation of liability

Services are provided “as is” and “as available” to the maximum extent permitted by law. RSP will use reasonable care but disclaims implied warranties that cannot be supported by the signed scope.

To the maximum extent permitted by law, RSP’s aggregate liability for a claim related to the services will not exceed the fees paid to RSP for the affected service during the 12 months before the event giving rise to the claim. RSP is not liable for indirect, special, incidental, consequential, exemplary, or lost-profit damages. These limits do not apply where law does not permit them.

11. Governing law and disputes

California law governs these Terms, without regard to conflict-of-law rules. Unless a signed agreement states otherwise, disputes that cannot be resolved informally will be submitted to binding arbitration in San Diego County on an individual basis, except that either party may use small-claims court where eligible or seek temporary injunctive relief. To the extent permitted by law, class or representative proceedings are waived.

12. Roscoe Site Pro SMS program

The sender is Roscoe Equity DBA Roscoe Site Pro. People may separately choose nonmarketing texts about a Lead Leak Map or service request, appointment and service updates, and customer-support follow-up. People may also separately choose occasional marketing texts about Roscoe Site Pro service updates and offers.

SMS consent is optional and is not a condition of purchase or form submission. We send only the category or categories selected. Message frequency varies based on requests and account activity. Message and data rates may apply.

Stopping or rejoining

Reply STOP to unsubscribe from messages sent by that number. Roscoe Site Pro will confirm the opt-out and will not send additional messages from that number unless the person later signs up again through a valid Roscoe Site Pro opt-in form. Other standard opt-out words configured by our messaging provider are also honored.

Delivery and privacy

13. Changes to these Terms

We may update these Terms as services and laws change. The updated date above identifies the current version. Material changes affecting an active signed service will be handled according to the signed agreement and applicable law.
